3. Services Provided

Arion Business Services Private Limited provides outsourced accounting, cloud bookkeeping, GST and statutory compliance, MIS reporting, payroll processing, virtual CFO advisory services, and related financial management services. All services are delivered through cloud-based platforms with oversight from qualified Chartered Accountants registered with the ICAI.

4. User Responsibilities

• Provide accurate, complete, and timely financial information and documents as requested
• Maintain confidentiality of your account login credentials and portal access
• Promptly notify us of any unauthorized account access or data breach
• Use our services only for lawful business purposes in compliance with all applicable laws
• Not attempt to reverse-engineer, copy, or replicate our proprietary software, templates, or methodologies
• Not use our platform to process transactions related to illegal activities

5. Service Level & Turnaround

Arion Business Services Private Limited commits to delivering services within the timelines specified in individual service agreements. Standard turnaround commitments include: monthly MIS reports within 5 business days of month-end (subject to client data submission); GST return filing at least 3 business days before statutory due dates; payroll processing by the 25th of each month (subject to input receipt by the 20th). Timelines are contingent on timely and accurate data submission by the client.

6. Fees, Invoicing & Payment

Service fees are as mutually agreed in individual engagement letters or service proposals. Invoices are raised monthly in advance. Payment is due within 15 days of the invoice date. Overdue payments will attract interest at 18% per annum, calculated from the due date. Arion Business Services Private Limited reserves the right to suspend or terminate services after 30 days of non-payment, with prior written notice.

7. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary, financial, operational, and business information shared during the course of the engagement. Neither party shall disclose confidential information to any third party without prior written consent. This confidentiality obligation survives the termination of the service agreement for a period of 3 (three) years.

8. Intellectual Property

All reports, dashboards, templates, process methodologies, software tools, and other deliverables developed by Arion Business Services Private Limited remain its sole intellectual property, unless explicitly transferred in writing. Client financial data, books of accounts, and business information remain the property of the client at all times and will be returned or destroyed upon termination as requested.

9. Limitation of Liability

The liability of Arion Business Services Private Limited under these Terms shall be limited to direct damages caused by gross negligence or willful misconduct, and in no event shall exceed the total fees paid by the client in the 3 (three) months preceding the event giving rise to the claim. The Company shall not be liable for indirect, consequential, incidental, special, or punitive damages, or for any loss of profit, revenue, or business opportunity. The Company is not liable for penalties, interest, or notices arising from incorrect, incomplete, or delayed information provided by the client.

10. Termination

Either party may terminate a service agreement with 30 (thirty) days' written notice. In the event of material breach, the non-breaching party may terminate with 7 (seven) days' notice after failing to remedy the breach. Termination does not relieve the client of any outstanding payment obligations. Upon termination, Arion Business Services Private Limited will provide a complete handover of all client data, books, and documents within 15 business days.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 (thirty) days. If unresolved, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be New Delhi, India, and proceedings shall be conducted in English.

12. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause above, the parties submit to the exclusive jurisdiction of the courts located in New Delhi, India.

13. Amendments

Arion Business Services Private Limited reserves the right to revise these Terms of Service at any time. Clients will be notified of material changes via email or written communication. Continued use of services after such notification constitutes acceptance of the updated terms.
